These Terms of Service (the “Terms”) form a legally binding agreement between you (“Customer,” “you,” or “your”) and Relevant Ads, Inc., a California corporation doing business as Wisp.net (“Wisp,” “we,” “us,” or “our”). By ordering, activating, accessing, or using any Wisp services, you agree to these Terms.

1. Services
Wisp provides high-speed Internet access (residential and business), VoIP telephone service, SMS/MMS messaging (including application-to-person (A2P), person-to-person (P2P), and related messaging), AI-powered phone reception features, static IP addresses, managed Wi-Fi, and related connectivity and communications services (collectively, the “Services”). Specific features, speeds, and availability depend on your service location, selected plan, and technical feasibility.
Service performance commitments are set forth in our Service Level Agreement available at url.wisp.net/SLA. In the event of a conflict between these Terms and the SLA regarding service credits or performance metrics, the SLA controls for those limited purposes.
2. Account Registration and Eligibility
You must provide accurate, current, and complete information when creating an account or ordering Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must be at least 18 years of age and capable of forming a binding contract. Business accounts must be authorized by a person with authority to bind the entity.
We may use OAuth and single sign-on (SSO) providers to facilitate secure access. You authorize us to receive limited profile information necessary to authenticate and manage your account.
3. Billing, Payment, and Term
Unless otherwise stated in your order or a separate written agreement, Services are provided on a month-to-month basis. Fees are billed in advance or as otherwise disclosed at signup. You authorize us (and our payment processors) to charge the payment method on file. Late payments may result in suspension or termination. You remain responsible for all charges incurred through the date of termination, including any early-termination or equipment fees disclosed at the time of order.
Taxes, regulatory fees (including those related to our status as an FCC Form 499 filer and telecommunications carrier), and surcharges may apply and are your responsibility unless otherwise required by law.
4. Acceptable Use Policy
You agree to use the Services only for lawful purposes and in accordance with these Terms, applicable law, and the policies of any upstream carriers or interconnect partners. The following rules apply. Violations may result in immediate suspension, termination, filtering, or other remedial action, and you may be responsible for any resulting costs, fines, or damages (including carrier-assessed fees).
4.1 General (All Services)
- Do not use the Services for any illegal activity, fraud, harassment, defamation, or infringement of intellectual property or privacy rights.
- Do not interfere with, disrupt, or attempt to gain unauthorized access to any network, system, or account (including ours or third parties’).
- Do not transmit malware, viruses, or any harmful code.
- Do not engage in denial-of-service attacks, port scanning for malicious purposes, open mail/SMS relays, or similar abusive network activity.
- Respect copyright and the Digital Millennium Copyright Act (DMCA). We will respond to valid notices.
4.2 Residential Internet
Residential plans are intended for typical personal and household use at the service address. You may not:
- Resell, share, or redistribute the service to third parties or adjacent properties (except ordinary guest Wi-Fi use within your household).
- Operate high-volume commercial servers, continuous high-bandwidth public services, or cryptocurrency mining farms that materially degrade the experience of other customers on shared infrastructure, unless you have a business plan that expressly permits such use.
- Use residential service primarily as a substitute for a business or dedicated connection.
Reasonable personal use of video streaming, gaming, remote work, and smart-home devices is expected and permitted.
4.3 Business Internet, Static IPs, and Managed Wi-Fi
Business plans support commercial use consistent with the ordered capacity and any fair-use or traffic-management practices we publish. You remain fully responsible for traffic originating from or terminating to your static IPs and managed Wi-Fi networks. You must maintain appropriate security (firewalls, access controls, timely patching). Open or unsecured Wi-Fi that is used for abuse may result in suspension until remediated.
4.4 Voice (VoIP), AI Phone Reception, and Telephone Services
- Use is limited to lawful, interactive voice communications and authorized automated features (including AI reception) consistent with your plan.
- You must comply with all applicable telemarketing, Do-Not-Call, and recording-consent laws.
- Unlimited or high-volume voice plans are subject to fair-use standards for ordinary business or residential calling patterns. Continuous call blasting, predictive dialing abuse, or traffic that is primarily automated in a manner that harms the network or other users is prohibited.
- E911 / emergency calling has limitations inherent to VoIP (power, internet connectivity, and location accuracy). You acknowledge these limitations.
4.5 SMS, MMS, A2P, and Messaging Services — Zero Tolerance for Violations
Wisp does not tolerate SMS/MMS abuse. All messaging traffic (whether A2P, P2P, or otherwise) must comply with the Telephone Consumer Protection Act (TCPA), FCC rules, CTIA Messaging Principles and Best Practices, applicable carrier codes of conduct, and these Terms. We treat messaging on our platform seriously and may block, filter, suspend, or terminate service, and may pass through carrier fines, fees, or audit costs, for non-compliant traffic.
Consent and Opt-Out (required):
- Obtain prior express consent (and prior express written consent for marketing/promotional messages) from each recipient before sending messages. Consent must be informed, specific to the sender and message type, and freely given. Do not buy, rent, or use third-party lead lists that lack proper consent.
- Honor opt-outs immediately. Support standard keywords such as STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, and QUIT. Provide clear opt-out instructions. After an opt-out, send at most one confirmation and no further messages unless new consent is obtained.
- Retain proof of consent and make it available to us upon request.
Prohibited content and use cases include (non-exhaustive):
- Spam, unsolicited bulk messaging, phishing, social engineering, or deceptive practices.
- High-risk financial services (payday loans, short-term high-interest loans, third-party loan solicitations, certain debt collection/consolidation/credit repair, cryptocurrency or high-risk investment promotions, etc.).
- Cannabis, CBD, THC, or other federally controlled substances (including marketing or sale), regardless of state law.
- Pornography, adult entertainment, or sexually explicit content.
- Hate speech, threats, harassment, violence, or content that endangers public safety.
- Third-party lead generation, affiliate commission schemes, work-from-home / get-rich-quick / multi-level marketing schemes that are deceptive or high-complaint.
- Filter evasion, snowshoeing (spreading identical or similar traffic across many numbers to evade detection), intentional misspelling to bypass filters, shared/public URL shorteners that are disallowed by carriers, number cycling, or other techniques designed to avoid carrier or industry controls.
- Any content that is illegal in the recipient’s jurisdiction or that violates carrier or industry guidelines.
You are solely responsible for the content of messages you send and for compliance by any end users or downstream customers. We may require campaign registration, brand verification, or other industry-standard processes (e.g., 10DLC) and may refuse or terminate non-compliant campaigns.
5. Service Changes, Suspension, and Termination
We may modify, suspend, or discontinue features of the Services with reasonable notice where practicable. We may suspend or terminate Services immediately for non-payment, violation of these Terms (especially Section 4), network security risk, or legal requirement. You may cancel by contacting us through your account or designated support channels; cancellation is effective at the end of the then-current billing period unless otherwise agreed.
Upon termination, you remain obligated to pay all outstanding amounts. Equipment return requirements, if any, will be as disclosed at the time of provision.
6. Intellectual Property and Feedback
The Services, our website, software, trademarks, and related materials are owned by Wisp or our licensors. You receive only a limited, non-exclusive, non-transferable right to use the Services as permitted by these Terms. Any feedback you provide may be used by us without restriction or compensation.
7. Disclaimer of Warranties
EXCEPT AS EXPRESSLY SET FORTH IN THE SLA OR REQUIRED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WISP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO WISP FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
9. Indemnification
You agree to indemnify, defend, and hold harmless Wisp and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your content or messaging; (c) your violation of these Terms or applicable law; or (d) your infringement of any third-party rights.
10. Privacy
Our collection and use of personal information is described in our Privacy Policy. By using the Services, you acknowledge that policy.
11. Changes to These Terms
We may update these Terms from time to time. We will post the updated version and revise the “Last Updated” date. Material changes will be communicated by reasonable means (email, account notice, or website notice). Continued use after the effective date constitutes acceptance of the revised Terms.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Orange County, California, and you consent to personal jurisdiction and venue there.
13. Miscellaneous
These Terms, together with any order, the SLA, and the Privacy Policy, constitute the entire agreement between you and Wisp regarding the Services and supersede prior agreements on the same subject. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices may be given by email to the address associated with your account or by posting on our website.
